Vice President, General Counsel and Secretary
POSITION OVERVIEW
KV Pharmaceutical is seeking a General Counsel (GC) to serve as an officer of the company reporting to Chief Executive Officer (CEO) and serves as the Company’s general legal advisor. The GC will also be the Secretary for the Board of Directors (Board). He/she will serve as a member of the Company’s Executive Committee and therefore will be involved in strategic direction setting and overall management of the organization.
The GC directs KV’s legal department and manages litigation and disputes using outside counsel as needed to protect the company’s interests. This position also develops and utilizes appropriate systems/processes to ensure the effectiveness of the Company’s compliance program with particular focus on the Consent Decree.
Essential Functions:
- As a business partner, the GC will provide legal and business insight to the CEO, to the Executive Committee, and as appropriate to others in Company management on day-to-day issues.
- Provide legal guidance to the CEO and to the Company’s Executive Committee to assist in the development and execution of the Company’s annual plans.
- Act as primary legal advisor to the Board and has an independent duty to them. In addition, serves as a member of the management team that works to advance management’s agenda and proposals.
- Develop and assist business in implementation of appropriate compliance systems and programs working closely with the: Chief Compliance Officer (new position); VP, Consent Decree, VP Corporate Quality, VP of Operations, VP Human Resources, CFO, and the CEO.
- Manage litigation including the development of recommendations for the selection of outside counsel, management of outside counsel, analysis of the dispute, formulation of recommended case strategies and tactics, coordinate appropriate insurance recovery, management of costs, the implementation of appropriate reporting mechanisms, and coordination with senior management while always living the KV values.
- In consultation with CEO, develop and implement legal strategies while providing necessary reporting mechanisms for senior management.
- Manage certain disputes/conflicts prior to litigation including providing legal analysis, preparing correspondence, and negotiating to a conclusion in accordance with a plan agreed to by the CEO.
- Draft, review, edit and negotiate complex contracts including such matters as commercial, managed care, software, real estate, construction, and government contracts.
- Assist in the cost effective management of department and outside counsel costs and expenses.

- Knowledge of SEC, FDA, and all regulatory agencies with practical decision making capacities.
- Demonstrated superior ability to communicate clearly, effectively and persuasively, both orally and in writing. Effective listener.
- Demonstrated ability in public speaking.
- Superior analytical and critical thinking skills.
- Demonstrated excellent negotiation skills.
- Strong work ethic, good judgment, and responsive to client requests.
- Ability to maintain total confidentiality and compliance with the Rules of Professional Responsibility for attorneys.
- Ability to create and sustain constructive working relationships with employees at all levels.
- Specific knowledge of SEC, FDA and SOX compliance desired.
Education/Experience:
- Juris doctorate with admission to at least one state bar. Member of Missouri bar, or willingness to become a member.
- Ten years experience as an attorney, required; generalist background preferred.
- In-house pharmaceutical/chemical/ or heavily regulated industry experience, required.
- Litigation management and/or trial experience required.
- Prior experience in an advisory capacity to a Board of Directors and CEO of a publicly traded company is required (GC or Assistant GC role preferred).
